The corporate team at WBW Solicitors and Chartered Financial Planners have a wealth of experience in dealing with corporate and business transactional work, however, what we have found is that what is commonly overlooked, are the legal compliance requirements of running your company in accordance with UK company law.

Failure to adhere to these legal compliance duties could lead to a breach of the relevant provision of the Companies Act 2006 (CA2006) and, depending on the nature of the offence, result in an unlimited fine being imposed on the company and its directors.

Notwithstanding the potential of a hefty fine, properly made-up statutory registers and records that validate ownership, share ownership history and the associated documentary evidence to prove that procedures have been correctly followed, will be required in order to proceed with the sale of a company.  Any purchaser and their legal representative will want to inspect the registers to ensure that the proposed sellers have the relevant authority to sell their shares and enter into the transaction.

We have also found that it is a common misconception that the information available on the company’s public record at Companies House is suitable for the purpose of providing evidence of the company’s share history and, therefore, evidence of compliance with record-keeping requirements under the CA2006.
