Changes to mortgage interest relief and a surcharge on stamp duty for second homes has made many landlords to reconsider whether they should be renting or not. It would seem that property price growth has…
The corporate team at WBW Solicitors and Chartered Financial Planners have a wealth of experience in dealing with corporate and business transactional work, however, what we have found is that what is commonly overlooked, are the legal compliance requirements of running your company in accordance with UK company law.
Failure to adhere to these legal compliance duties could lead to a breach of the relevant provision of the Companies Act 2006 (CA2006) and, depending on the nature of the offence, result in an unlimited fine being imposed on the company and its directors.
Notwithstanding the potential of a hefty fine, properly made-up statutory registers and records that validate ownership, share ownership history and the associated documentary evidence to prove that procedures have been correctly followed, will be required in order to proceed with the sale of a company. Any purchaser and their legal representative will want to inspect the registers to ensure that the proposed sellers have the relevant authority to sell their shares and enter into the transaction.
We have also found that it is a common misconception that the information available on the company’s public record at Companies House is suitable for the purpose of providing evidence of the company’s share history and, therefore, evidence of compliance with record-keeping requirements under the CA2006.
Whatever your company administration needs, we are here to assist you with them leaving you the time to do what you do best, focusing on the running of your business.

What Our Customers Say
I just wanted to thank you sincerely for all your kind assistance with my family matters this year.
As well as providing excellent and prompt service, you have done so with kindness and humanity.
I could not have asked for more in terms of your clarity at all times and being kept informed of the process throughout its entirety.
Thank you for all your help and advice throughout, I will certainly have no hesitation in recommending you.
Anne Keate is so diligent, we were able to avoid buying an unsuitable house. She also explains things well and keeps promises.
We’d just like to say a big ‘thank you’ for the help and advice which you’ve provided, which has helped us significantly through this process (as we’ve had no prior experience of the eviction process).
Thank you again for all you have done for us not just for the sale of the house, but for all that you have done for us over the years too. You have made our dreams come true. Thank you to all the staff at WBW Solicitors too.
|Katherine was excellent and understanding to our case. She did an excellent job.|
Excellent service. The person dealing was very approachable and very helpful. After care service was good when I approached her about an associated matter. All in all, very efficient.
Carlie Broome was exemplary. Super efficient and speedy with the selling and buying of our properties. Everything went so smoothly without any stress.
Laura was so patient but driven and again kept me focused, ensuring I understood the complete picture. Laura has a great skill in explaining regulations in an understandable way. I have been left feeling supported and most importantly that the right decisions have been made after clear guidance given. Laura is a breath of fresh air, so professional, confident and empathetic.
I just wanted to say a huge thank you for all your help on this one. You did an amazing job completing the sale within just 30 days from agreement – wow!
Put simply, Debbie provided the best experience of using a solicitor I have ever had. We felt Debbie was consistently focused on her clients’ experience, not just managing a legal process.
I went with Julie for my conveyancing with the last property that we bought and chose to use her again for our latest house purchase. We have found her to be excellent both times we have dealt with her.
